KME Recycle SpA Acquires a 10% Stake in ALUMETALI Sas (Valika) a French Company Active in the Metal Distribution Business.

As was the case for the other two transactions completed earlier in 2009 in Italy, this acquisition falls within the framework of a project designed to diversify the Group’s operations with activities upstream of its traditional industrial businesses, by creating a European network of companies engaged in the recycling, processing and commerce of ferrous and non-ferrous scrap metal.

KME Recycle S.p.A., a wholly owned subsidiary of KME Group S.p.A., has on 8th February, 2010, acquired 10% of ALUMETALI S.a.S., a French metal distribution company based in Montpellier, commonly know as “VALIKA.”

In 2009, VALIKA S.a.S. reported revenues of about 21 million euros.

This transaction, valued at 550,000 euros for 10% of the share capital, is the Group’s third acquisition of an equity investment in companies active in the metal distribution business and its first one outside Italy. The transaction includes two options with predetermined terms and conditions, which, if exercised, would enable KME Recycle S.p.A. to achieve ownership of 51% of the shares of ALUMETALI S.a.S.

As in past transactions, PriceWaterhouseCoopers S.p.A. provided support for the valuation of this acquisition.
